1. Acceptance of Terms & Eligibility

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of a corporate entity, real estate developer, broker, or enterprise client, hereinafter "Client" or "User") and Amalfi Labs ("Amalfi Labs", "we", "us", or "our").

By accessing the website at amalfilabs.art, utilizing our interactive 3D walkthroughs, requesting demonstration sessions, or interacting with our digital sales collateral, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms in full, you must discontinue use of the platform immediately.

2. Description of Services & The Aera Platform

Amalfi Labs develops and distributes Aera by Amalfi Labs, an enterprise spatial technology solution providing:

• Unreal Engine 5 and WebGL real-time interactive 3D property walkthroughs and architectural tours.
• Digitized 3D GIS location mapping and masterplan visualization.
• Real-time interior finishes, materials, cabinetry, and architectural customization tools.
• Live CRM synchronization, unit inventory filtering, and spatial search systems for luxury property developments.
• Personalized remote sales presentation capabilities for developer sales centers and brokerages.

3. Intellectual Property & Proprietary Rights

All rights, title, and interest in and to the Aera platform—including but not limited to source code, 3D meshes, procedural shaders, spatial audio, user interface design, branding, graphic marks, typography, and documentation—are and remain the exclusive intellectual property of Amalfi Labs and its licensors.

Subject to compliance with these Terms, Amalfi Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and navigate the publicly available interactive demos for evaluation purposes. You may not reproduce, copy, decompile, dissemble, reverse engineer, or redistribute our proprietary software without our prior express written authorization.

5. Permitted Use & User Prohibitions

In using the platform and its 3D assets, you explicitly agree not to:

• Extract, scrape, harvest, or download raw 3D geometry, textures, GLB/GLTF assets, or proprietary shaders for third-party modeling or redistribution.
• Introduce malicious software, automated crawlers, headless scrapers, or overload server capacity through simulated stress testing.
• Use the platform for any illegal purpose or in violation of local, national, or international regulations in Italy, the UAE, or other jurisdictions.
• Misrepresent your identity, corporate affiliation, or authorization when booking client discovery calls or requesting proprietary developer integrations.

6. Discovery Calls, Bookings & Consultations

Appointments scheduled via our integrated Cal.com interface or WhatsApp channel are intended for real estate developers, institutional investors, architectural bureaus, and authorized brokerage representatives seeking enterprise implementation. Amalfi Labs reserves the right to verify credentials and reschedule or decline meetings that do not align with commercial criteria.

7. Disclaimer of Warranties ("As-Is" & "As-Available")

The Aera website, interactive 3D demonstrations, and marketing materials are provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied.

Amalfi Labs does not warrant that the 3D streaming service will operate uninterrupted, error-free, or compatible with obsolete browser versions or low-power graphics hardware. You are responsible for ensuring your hardware meets minimum WebGL 2.0 standards for 3D navigation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Amalfi Labs, its officers, directors, employees, or partners be held liable for any indirect, consequential, incidental, special, punitive, or reliance damages—including loss of profits, commercial opportunities, data loss, or business interruption—arising from your use or inability to use the platform.

Our aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you, if any, to Amalfi Labs for platform evaluation in the twelve (12) months preceding the claim, or €100.00 EUR, whichever is lesser.

9. Indemnification

You agree to defend, indemnify, and hold harmless Amalfi Labs, its subsidiaries, and contractors from and against any third-party claims, liabilities, damages, losses, and legal expenses resulting from your violation of these Terms, misuse of our 3D software, or infringement upon any third-party intellectual property.

10. Third-Party Integrations & Hyperlinks

The website may integrate or link to third-party services including Cal.com, WhatsApp, Vercel, and external developer portfolios. Amalfi Labs does not control and accepts no responsibility for third-party content, terms, or privacy practices. Your interactions with third-party providers are governed solely by their independent terms.

11. Governing Law, Jurisdiction & Dispute Resolution

These Terms shall be interpreted and governed in accordance with:

• European Clients: The substantive laws of Italy. The competent courts of Milan, Italy shall possess exclusive jurisdiction for disputes arising within the European Union.
• Middle East & Global Clients: The laws of the Dubai International Financial Centre (DIFC) or United Arab Emirates. Any dispute may, at Amalfi Labs' option, be submitted to final and binding arbitration under the Rules of the DIFC-LCIA Arbitration Centre or International Chamber of Commerce (ICC).

12. Amendments, Severability & Contact

We reserve the right to revise these Terms periodically to reflect technological evolutions or regulatory revisions. If any provision of these Terms is deemed unlawful or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain fully effective.
